Terms of Service
These terms govern access to waverly.io and use of the Waverly platform by brands and partners. Creating an account means you accept them on behalf of yourself and any organisation you represent.

Accounts
You must provide accurate account information, keep credentials secure, and are responsible for activity under your account. Waverly may decline, suspend or close an account that does not meet program or compliance requirements.
Brand programs
Brands set commission rates, referral windows, eligible partner types and promotional rules for their programs. Program terms accepted inside the platform form part of the agreement between the brand and the partner.
Partner participation
Partners may promote a brand only after acceptance into that brand's program and only through methods the program permits. Commission is earned on validated conversions attributed within the applicable referral window.
Marketplace and retailer programs
A brand that sells through a marketplace or retailer remains solely responsible for its own eligibility to sell and advertise on that marketplace and for complying with that marketplace's policies and agreements. By authorising a connected integration, a brand permits Waverly to use the connected account only for the functionality described at the time of authorisation, and may revoke that authorisation at any time.
Seller-funded compensation
Compensation for a marketplace seller program is funded by the seller and paid by Waverly. It is separate from, and additional to, any affiliate or associate compensation the marketplace itself may pay, and Waverly makes no representation about compensation paid by a marketplace under its own program.
Marketplace data and intellectual property
Marketplace data, product identifiers, measurement reporting, names, logos and other intellectual property remain subject to the terms of the relevant marketplace and its owners. Waverly's use of a connected integration does not imply endorsement, sponsorship or certification by any marketplace unless expressly stated.
Connected platforms and marketplace programs
A user authorises Waverly only for the platform access described at the time of authorisation, and marketplace programs remain governed by the marketplace's own terms. Seller-funded Waverly compensation is independent from any commission paid by Amazon Associates or another marketplace affiliate program. External measurement and reporting may be delayed, corrected or restated by the source platform; where that happens Waverly may adjust unpaid campaign compensation to match authorised source-platform reporting, while a previously paid amount is changed only through an explicit adjustment with an audit trail and is never silently rewritten. Waverly does not control Amazon Attribution methodology, measurement windows or the reporting Amazon produces. Users remain responsible for complying with applicable Amazon and other marketplace rules. Final production legal language should be reviewed by counsel.
Attribution and measurement periods
Where a marketplace provides its own measurement, the measurement window and model are set by that marketplace and shown in the platform. Any Waverly campaign qualification period is a separate contractual term and does not change marketplace measurement.
Acceptable conduct
Prohibited activity includes misleading claims, unauthorised trademark or brand bidding, cookie stuffing, incentivised or automated traffic, malware, and any method prohibited by a brand's program terms or by law.
Tracking and reporting
Reporting reflects data recorded by Waverly tracking and conversions reported by brands. Figures may be adjusted for returns, cancellations, duplicate orders or invalid activity before payment.
Payments
Approved commissions are paid on the schedule shown in the platform, subject to minimum thresholds, valid payment details and required tax documentation. Commissions associated with invalid activity may be reversed.
Intellectual property
The Waverly name, mark, platform and site content are the property of Waverly Network LLC. Brand assets made available through a program may be used only for promotion of that program.
Confidentiality
Program terms, rates and performance data disclosed through the platform are confidential and may not be shared outside the relevant partnership without consent.
Disclaimers and liability
The platform is provided on an as-is basis. Waverly does not guarantee particular results, traffic or revenue, and its liability is limited to the fullest extent permitted by law.
Termination
Either party may end participation at any time. Commissions validly earned before termination remain payable under these terms.
Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
